STechBD License Version 1.0

Effective Date: August 14, 2013

This License ("License") is entered into by and between S Technologies ("S Technologies"), having its principal place of business in Bangladesh, and any individual, organization, or entity ("Licensee") that obtains a copy of the software and related documentation licensed under this License. By using, copying, distributing, modifying, or sharing the software products and source code, Licensee agrees to be bound by the terms and conditions of this License.

1. Definitions:
   a. "Software Products" refer to any computer programs, applications, libraries, or software components developed by S Technologies and distributed under this License.
   b. "Source Code" refers to the human-readable form of the Software Products and includes any associated documentation and related materials.

2. License Scope:
   a. This License applies to all Software Products developed by S Technologies and its child or supportive companies and organizations.
   b. This License also applies to any derivative works, modifications, enhancements, or extensions made by Licensee based on the Software Products.

3. Grant of License:
   a. S Technologies grants Licensee a non-exclusive, non-transferable, and revocable license to use, reproduce, and modify the Source Code solely for internal purposes and for the development and distribution of software products within the Licensee's organization.
   b. Licensee shall not use the Software Products or Source Code for any purpose other than as explicitly permitted under this License.

4. Restrictions:
   a. Copying, sharing, modifying, or using the Source Code by anyone other than S Technologies' responsible or liable employee(s) is strictly prohibited.
   b. Distribution of the Source Code, in part or whole, to any third party without explicit written consent from S Technologies is not allowed.
   c. Licensee shall not remove, alter, or obscure any copyright, trademark, or proprietary notices present in the Software Products or Source Code.
   d. Licensee shall not use the Software Products or Source Code to develop any software product that directly competes with S Technologies' existing products or services.

5. Intellectual Property Ownership:
   a. S Technologies retains full ownership of all intellectual property rights, including but not limited to copyright, patents, trademarks, trade secrets, and any other rights, titles, and interests in the Software Products and Source Code.
   b. Nothing in this License shall be construed as a transfer of ownership of the Software Products or Source Code to the Licensee.

6. Warranty and Disclaimer:
   a. The Software Products and Source Code is provided "as is" without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement.
   b. S Technologies makes no representations or warranties concerning the quality, reliability, security, or suitability of the Software Products or Source Code for any particular purpose.
   c. S Technologies shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, data, or other intangible losses arising from the use or inability to use the Software Products or Source Code.

7. Termination:
   a. This License shall remain in effect until terminated by either party.
   b. S Technologies may terminate this License immediately upon any material breach by Licensee.
   c. Upon termination, all rights and licenses granted under this License shall cease, and Licensee shall promptly cease using, distributing, and modifying the Software Products and Source Code.

8. Governing Law and Jurisdiction:
   a. This License shall be governed by and construed in accordance with the laws of Bangladesh, without regard to its conflicts of law principles.
   b. Any legal action or proceeding arising under or related to this License shall be subject to the exclusive jurisdiction of the courts located in Bangladesh.

9. Entire Agreement:
   This License constitutes the entire agreement between S Technologies and Licensee concerning the subject matter hereof and supersedes all prior or contemporaneous communications, agreements, or understandings, whether oral or written.

IN WITNESS WHEREOF, the parties hereto have executed this License as of the Effective Date.
